Formation of International contract in the ( CISG ) under actical Essay

Formation of International contract in the ( CISG ) under actical 1224,8,9,11,29 - Essay Example It may be noted that a contract essentially contains two elements: Agreement and enforceability by law. An agreement is defined as 'every promise and every set of promises forming consideration for other.' This essentially means that there should be an offer and acceptance to form an agreement. It is important that before an agreement is finalized there should be a Consensus ad idem (Consensus to the matter) between the two parties. Both the contracting parties should 'say and mean the same' without which there cannot be a contract (Bharadwaj). The other element of contract, enforceability by law, emphasizes the importance of intention to create a legal obligation or duty to perform or abstain from performing certain act(s). These acts could relate to social or legal matters. The initial efforts to develop a uniform law of international sales began in 1930 under the auspices of the International Institute for the Unification of Private Law (UNIDROIT). UNIDROIT submitted two draft conventions: the Convention Relating to a Uniform Law on the International Sale of Goods (ULISG or ULIS) and the Convention Relating to a Uniform Law on the Formation of Contracts for the International Sale of Goods (ULFC or ULF). ... Although both draft conventions were adopted at a 1964 Diplomatic Conference in The Hague, many states, including the United States, did not ratify them. Some of the criticisms expressed were that the provisions primarily reflected the legal traditions and economic realities of continental Western Europe (Germain). There is a distinction between a sale and an agreement to sell. This distinction between a sale and an agreement to sell can be summarized as follows: 1. A contract which contemplates transfer of title to goods to the buyer immediately is a sale while a contract which does not contemplate a transfer of title to goods immediately is an agreement to sell. 2. A contract of sale is an executed contract. It involves a contract plus a conveyance of the property. When the property is transferred, the rights and liabilities attached to the goods are also transferred. An agreement to sell, on the other hand, is an executor contract. The property in the goods does not pass until a certain time has lapsed or until a certain condition is fulfilled. 3. In an agreement to sell, the seller remains the owner of the property until it is actually transferred to the buyer at a future point of time. However, in a contract of sale, the buyer becomes the owner immediately and all the risks attached to the goods are passed on to him irrespective of the fact whether the goods are delivered to him or not and whether the price is paid or not. 4. In an agreement to sell, the seller agrees to sell the goods for a price and the buyer agrees to buy the goods for a price. In a contract of sale, the seller sells the goods to the buyer for a price. 5. The consequences of a breach of an agreement to sell is as follows: a. In case the buyer defaults, the seller may sue for

Urban Problems in Texas Essay Example | Topics and Well Written Essays - 1250 words

Urban Problems in Texas - Essay Example Issues such as crime and overcrowding plague Dallas, Austin and San Antonio just as much as they are likely to plague cities like Chicago, Los Angeles and Detroit. However, Texas also faces some urban problems that remain unique to the state because they are largely the result of the speed with which the state developed these areas as compared with the (sometimes) centuries that other cities in the United States have had. Between the 1970s and the early 1980s, cities in Texas were recording record rates of growth in population (Texas, 2007). This was due to the influx of new residents from other states in the union who were seeking the sun and had heard about the low property taxes. This large influx of people provided an abundant and constantly increasing labor force which further helped to attract new businesses. In addition, Texas as a state generally held numerous pro-business traditions such as a notoriously low number of available labor unions, an already high and increasing la bor force, low taxes for businesses, a close proximity to numerous natural resources and a proliferation of city governments that were favorable to growth and development, frequently offering even more incentives for businesses to move to their area. As a result of this boom, though, the urban areas of Texas are now experiencing a general decline that seems unlikely to be curtailed in the near future. This decline is the result of an aging population, urban sprawl to the suburbs with the result of greater poverty within city limits, disintegrating infrastructure, increased crime rates and mandates to meet with increasing federal and state requirements while federal aid hits an all-time low and low state taxes have precluded any ability to overcome these challenges. By the late 1980s, economic conditions in Texas cities had dramatically changed from the boom they saw in the previous decade including the aging, or graying, of the urban residents and subsequent loss of the

The significant works of E.E. Cummings Research Paper

The significant works of E.E. Cummings - Research Paper Example His personal story reflected in poems such as number 34 about his father and All in green went my love riding, which relates his relationship to the female sex. He is best remembered, however, for his avant-guarde use of language Near the end of his life, Cummings wrote little i, a poem that looked back to his childhood and in a few short lines expressed the memory of a child from the point of view of his childhood home. He wrote â€Å"who are you little i/(five or six years old)/peering from some high/window; at the gold/of November sunset† (Reef, 1). Cummings began his relationship with poetry at a young age. His mother wrote poetry and encouraged her son to jot down his ideas and thoughts and put them into poetic form. Cummings once said â€Å"I did not decide to become a poet- I was always writing poetry† (Reef 5). Poetry was a part of his life from such a young age that he never knew a time when he was not writing and his prolific list of work reveals the depth to which the art form allowed for his expression Cummings, who is known for using lower case letters in spite of grammatical correctness, is also known for his overt sentimentality. His poem number 34 from his 50 Poems expresses his love for his father who had died in a car accident in 1926. The first stanza, ‘my father moved through dooms of love/through sames of am through haves of give,/singing each morning out of each night/my father moved through depths of height† (Bloom 10). This work, however sentimental, does reveal the differences between himself and his father. His father is characterized as open and loving, an attachment to the divine love that was lacking in the emotional sphere of Cummings who was more comfortable in isolation, his experience in life leaving him with the difficulty of love and the realities of death. He writes in the work â€Å"though dull were all we taste as bright/ bitter all utterly things sweet,/maggoty minus and dumb death/all we inherit . All bequeath/† as a discussion of the inevitability of death making all that is sweet in life have a bit of bitterness as it will pass into the oblivion of death. In his poem All in Green Went My Love Riding, the predatory nature of the female can be observed through the construction of the phrasing, coupled with the last line that suggests that more than once he had fallen to the hunt of a woman. Cora Robey states that â€Å"Cummings borrows from the Classic and Medieval past and evokes the method of the Pre-Raphaelite poets in exploring his theme: the lover’s vision of feminine cruelty† (Robey 23). Cummings uses imagery such as â€Å"the famished arrows† in order to continue the underlying theme of the cruelty of the exercise. The hunt is wrapped in beautiful concepts such as â€Å"the great horse of gold/into the silver dawn† which envelops the hunt in visual beauty, the emotional content rife with the fear of the consummation of that hunt - th at the speaker will fall to the wiles, his desire to do so as much apparent as his realization that he will ‘die’ from the experience (Lehman 393). In experimenting with language, Cummings used simple language and turned the sentence structure, juxtaposing the combinations in order to create interesting and unexpected relationships between them (Kidder and Oppenheim 79). In his poem, may i feel said he, Cummings explores a sexual interlude using very simple language the grinds like wheel over and over, the syntax

ITECFINAL Essay Example | Topics and Well Written Essays - 3750 words

ITECFINAL - Essay Example For instance, on its initial launch, users need to register for an account prior to do online shopping for insurance plans. There was a design flaw that was provoking uncertainty to the website visitors/users and hence was imposing a serious error in user e-commerce experience. Moreover, the design was constructed by non-technical personnel without any knowledge of how the website will utilize technology available at backend. It is astonishing that the user can access all the contents of the website without registration and the website should not degrade its performance when a large number of users trying to purchase health insurance. However, for a federal function website, 700, 000 is not a massive number in terms of other federal or government website visitors. Moreover, if we compare the number of visitors with some other popular social networking sites, they have billions of daily visitors. Likewise, the integration of this site with the other sites such as Internet Revenue Serv ice and the Department of Veteran affairs has severely affected its navigation response. Moving forward, the website needs to validate information from different interfaces of other systems that are using old technology, there is a dependency that needs to be sorted in the design phase of this website. Currently, the delay occurring on these old systems is reflecting on the website and end user is suffering. Secondly, there is one more issue that adds more problems for the end users i.e. data corruption that has already been identified and it is increasing day by day. The data submitted by the end users is submitted to insurance companies via and they have already reported about receiving bad data, as there are issues in dependent classifications etc. As already more than fifty vendors were working on different areas of this site, glitches were expected. Experts concludes that the project was not handled to perfection and

Free Trade Among Developed Economies Research Paper

Free Trade Among Developed Economies - Research Paper Example The question then remains, should these be pursued by more economically developed nations? An example of this would be the North American Free Trade Agreement otherwise known as NAFTA which included Mexico, Canada and the United States in a limited free trade agreement. Unfortunately, this agreement has seen tariff wars occur, in some circumstances causing large deficits. According to one working paper from the California Western School of Law, published 2005. â€Å"In response to U.S. restrictions on Mexican sugar, President Vicente Fox placed a 20% tax on all soft-drinks not sweetened with Mexican sugar. The â€Å"sugar tax† followed shortly after the DSB’s determination in the HFCS case, in which the Body held that Mexico failed to prove HFCS imports were threatening the Mexican sugar industry so as to warrant the imposition of antidumping duties. As a result of the sugar tax, the United States filed another complaint with the DSB† (Vacek-Aranda, 2005). With t he increased taxation and import tariffs being bandied at this time it would seem to nullify the idea of free trade. However, once these disagreements are worked out there is a substantial benefit to be had for the economies of all involved nations. To understand better why free trade is a necessary aspect of international trade among developed nations we should review what a developed nation is. A developed nation is simply a more economically developed country. This term is obviously ambiguous, however, can apply readily to those nations classified as first world nations. Some of those more economically developed countries or MEDC, would be Great Britain, Germany, Brazil, United States, Spain, Denmark and similar. According to a policy brief from International Institute for Applied Systems Analysis dated 2008, â€Å"The scenarios show that investment in education pays off in terms of higher long-term economic growth† ("Economic growth in developing countries: Education prov es key," 2008). This means only that nations with a more solid educational system and opportunities are more likely to be higher developed economic powers. Some arguments against the implementation of free trade agreements do so based on the non-members losses or reductions in ability to trade. However, the argument must be made that the implementation of a free trade agreement is a positive benefit in most cases. Arvind Panagariya et.al. outlines; â€Å"clearly, the initial equilibrium matters since that is crucial to the determination of the absolute level of consumers’ surplus relative to producers’ surplus† (Panagariya & Duttagupta, 2000). Simply put the importance of an equal footing is initially necessary when looking at setting up a free trade agreement. The effects on surrounding nations that are not at the same stage of economic development are important to note as well. Primarily the argument can be made that pollution in underdeveloped nations will li kely increase. An article in American Economic Review dated 1998 says, â€Å"Under the pollution haven hypothesis, poor countries get dirtier with trade, whereas rich countries get cleaner† (Antweiler, Copeland, & Taylor, Sept, 1998). While this can be a detriment globally over time it should be noted that once a

Writing Style and Light Wine Essay Example for Free

Writing Style and Light Wine Essay Different writing styles appeal to different audiences. In an excerpt from, The Life of Samuel Johnson, by James Boswell, Boswell distinguishes between the two very different writing styles of Joseph Addison and Samuel Johnson. Boswell believes both are very esteemed writers but it is evident Boswell favors Johnson’s style over Addison’s. Boswell conveys his perspective on both styles with diction and devices, namely similes and metaphors. At first Boswell defends Addison against claims made on Addison’s writing style as â€Å"nerveless and feeble† compared to that of Johnson’s. In his passage, Boswell considers the social position from which Addison is writing from. He states â€Å"Addison writes with the ease of a gentleman†, indicating Addison’s style has a casual, eloquent, and polite manner. Addison’s style is flowing and easygoing like a conversation, indicating that he writes the way he speaks. He is more like an â€Å"accomplished companion† and does not write like he is above his audience from an intellectual standpoint but rather a knowledgeable colleague. Boswell signifies Addison is more relaxed with his writing and is easy to understand from the beginning to end. Addison â€Å"insinuates his sentiments† with an â€Å"imperceptible influence†. The way Addison communicates his ideas is not imposing and not very forceful. He causes his audience to consider his point of view and supports it with viable arguments bringing the reader to respect him. He is more like a â€Å"light wine† where he appeals to everyone. In contrast, Johnson’s style is bolder and more forceful. Boswell observes that â€Å"Johnson writes like a teacher†; Johnson as opposed to Addison makes himself known as the higher intellectual to his audience. Johnson does not hold back and states his arguments firmly like a professor speaking in front of his students. He â€Å"dictates to his readers as if from an academical chair† and does not simply suggest his point like Addison but conveys it with a commanding nature. Johnson’s readers do not just respect him, they look at him with â€Å"awe and admiration†. Boswell is one of those readers who finds Addison’s writing pleasing but prefers a more intellectually exciting read that can be found in Johnson’s work. Boswell sees Johnson’s writing as more invigorating and captivating to the ear, writing that others aim for. â€Å"Highly relished† and â€Å"like liquor of more body† is how Boswell describes his view on Johnson’s writing. The after effect of Johnson’s work is more lasting and is far more appreciated by those looking for more substance. It is apparent Boswell favors a more mind stimulating read. Readers find enjoyment in Addison’s work but are astounded by Johnson’s. He states both styles appeal to different audiences, with readers fancying Addison but admiring Johnson. Boswell respects Addison and does not show any disrespect to him in the least but clearly favors Johnson’s style. He praises both authors but elevates Johnson in a subtle way. Boswell contrasts both writers as Addison being more like â€Å"light wine† and Johnson as â€Å"liquor of more body†. Liquor is more complex while light wine is simpler. It takes one with refined taste to fully appreciate the boldness of liquor versus a common wine that is simply pleasing to everyone. Addison’s work can still be enjoyed but Johnson’s work is for those who wish to be intoxicated with knowledge.

Man and the Machine Essay Example for Free

Man and the Machine Essay From the aeon of the history, we have perceived that man has been developing at jet speed in the fields of science and technology. Man, who once lived in the forest, in the natural state, is now on the cliff of mechanical advancement. The question arises today is, â€Å"who made whom? Did machine make man or man made the machine? The question might seem obscure or absurd but it intrigues us to ruminate over. The life leaning upon the Nature has taken a hue turn towards machines. Hence it’s difficult to operate man away from machines and visa versa. With the embrace of machines man has become systematic and machine perspective towards living. Man in history invented machines but became dependent too. Once man had cure in the nature, joy in the lap of nature and lived a satiated life in the bosom of Nature. Machines have denatured man. Machines that assumed â€Å"Nano† forms became part of man. Today one can’t but has to lean on them to survive. At present the machine is helping a small minority to live on at the exploitation of the masses. The motive force of this minority is not humanity and love of their kind, but greed and avarice. The craze of cell-phones is the best example today. We find no men without mobile. It’s a small machine that operates man in all his advancements. It’s not wrong to have such machines but the attachment and dependency of living on them has curtailed human freedom, energy and the strength. Ostensibly, it has become inseparable part of human living. Advances in technology have resulted in man feeling more isolated, alienated and lonesome as computers and i-pods have replaced human interaction. No man is sensitive to their feelings like machines when they are engaged by them. Should machines dominate us –rational, free human beings or should they be used for the development of our skills, talents and relationship? The question is applicable to all. Let us make the best of it to make the world a beautiful place to live in.
